Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Yclas Neo website, platform, and services (collectively, the “Services”), which are provided by Yclas Neo (“Yclas Neo,” “we,” “us,” or “our”). By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that the information you provide to us is accurate and complete.

2. Your Account

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or security breach. We are not liable for any loss or damage arising from unauthorized access to your account.

3. The Services

Yclas Neo provides a hosted platform that allows you to create and operate classifieds marketplaces. Each marketplace you create runs on its own dedicated database and is accessible from a subdomain or a custom domain you configure. Specific features, limits, and functionality depend on the subscription plan you select.

We may modify, suspend, or discontinue any feature of the Services at any time. We will use reasonable efforts to notify you of material changes that adversely affect your use of the Services.

4. Acceptable Use

You agree not to, and not to allow your marketplace users or staff users to:

• Use the Services for any unlawful purpose or in violation of any local, state, national, or international law
• Post, store, or transmit content that is illegal, harmful, infringing, defamatory, harassing, or otherwise objectionable
• Attempt to access, probe, or disrupt the Services’ infrastructure, security, or other customers’ data
• Reverse engineer, decompile, or otherwise attempt to extract source code from the Services
• Use the Services to send spam, unsolicited communications, or malware
• Resell or sublicense access to the Services without our written permission

We reserve the right to suspend or terminate access to the Services if we believe you or your marketplace users have violated these Terms.

5. Marketplaces and User Content

You are solely responsible for the content and activity on the marketplaces you create, including listings, messages, user accounts, and any data submitted by your users. You retain ownership of your marketplace content; we claim no ownership of it.

You are responsible for complying with all laws applicable to your marketplace, including consumer protection, data privacy (such as GDPR and CCPA), electronic communications, and any industry-specific regulation. You must publish your own terms of service and privacy policy for your marketplace users.

6. Data Isolation

Each marketplace you create runs on a dedicated database. We do not share data between marketplaces, even those owned by the same team. We will not access your marketplace data except as reasonably necessary to operate, secure, support, or improve the Services, or as required by law.

7. Free Tier and Paid Plans

Yclas Neo offers a free tier and two paid plans (Go and Zen). Every plan — including Free — includes unlimited marketplaces, listings, members, and staff users. No credit card is required to use the free tier, and there is no time limit.

• Free tier: The full product at no cost, on a subdomain (for example,acme.on-yclas.com), with a “Powered by Yclas Neo” badge shown on your storefront.
• Go plan: $29 per month. Removes the Yclas Neo branding and unlocks custom domains. Billed monthly in advance via Stripe.
• Zen plan: $89 per month. Everything in Go plus priority support. Billed monthly in advance via Stripe.
• Cancellation: You may cancel at any time. Your subscription remains active until the end of the current billing period, after which your account reverts to the free tier. The Yclas Neo branding reappears and new custom domains can no longer be added; your existing marketplaces, listings, and members are unaffected.
• Refunds: We do not offer refunds for partial billing periods. Fees already paid are non-refundable except where required by law.
• Failed payments: If a payment fails, we will attempt to retry. Continued failures may result in suspension of paid features.

8. Fair Use

Every plan includes unlimited marketplaces, listings, members, and staff users, subject to our Fair Use Policy. We do not meter usage or charge per marketplace, listing, or member. However, usage that places unusual pressure on our infrastructure — such as sustained, extremely high volumes of image storage or email — may require a custom plan. See the Fair Use Policy for examples and details. We may modify our approach to usage with reasonable advance notice.

9. Intellectual Property

The Services, including the Yclas Neo name, logo, software, and design, are owned by us and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, branding, or proprietary technology except as necessary to use the Services.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any data will not be lost.

11. Limitation of Liability

To the maximum extent permitted by law, in no event shall Yclas Neo be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or related to your use of the Services. Our total liability for any claim arising from these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your marketplace content, or your violation of these Terms.

13. Termination

You may terminate your account at any time by canceling your subscription. We may suspend or terminate your access to the Services immediately, without notice, if we believe you have violated these Terms or where necessary to protect the Services, our users, or third parties.

Upon termination, your marketplace data will be retained during any applicable grace period and may be permanently deleted thereafter. We are not obligated to retain any of your data after termination.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Services. Your continued use of the Services after any changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located there for any dispute arising from these Terms.
